This comprehensive agreement, governed by South African law, containing 24 separate clauses, sets out the shareholdings and responsibilities of each shareholder, the financing of the company, meetings and voting rights of directors and shareholders, matters requiring a specified majority vote, transfers of shares including pre-emption rights, restraint of trade and what happens if there is a dispute among the shareholders. While designed for use in South Africa most of this Agreement can be used in other countries. |
