The form is designed to be used as written resolution without the need for a board meeting. In order to avoid a meeting it is necessary that certain conditions are met. These are:

    * your company's articles of association allow for resolutions which are signed by the directors;

    * the resolution is signed by all the relevant directors, although they need not all sign the same piece of paper;

    * the date on the resolution is the date on which it is signed by the last of the directors.
